2.1 Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Cradle governing your access to and use of the Cradle daycare management platform, including all associated web applications, mobile applications, APIs, and support services (collectively, the "Platform").
By creating an account, clicking "I Agree," or otherwise accessing or using the Platform, you confirm that:
- You are at least eighteen (18) years of age
- You have the authority to enter into this agreement on behalf of yourself or the organization you represent
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy
If you do not agree to these Terms, you must not access or use the Platform.
2.2 Account Registration and Eligibility
To access the Platform, you must register for an account. You agree to:
- Provide accurate, complete, and current information during registration
- Maintain the accuracy of your account information and update it promptly when it changes
- Keep your login credentials confidential and not share them with unauthorized parties
- Be responsible for all activity that occurs under your account
- Notify us immediately at support@cradleapp.com if you suspect unauthorized access to your account
Accounts are non-transferable. You may not assign your account or any rights under these Terms to another party without our prior written consent.
2.3 Subscription Plans and Payment
2.3.1 Plan Selection
The Platform is available under subscription plans with defined limits on students, teachers, and included modules. Plan details, features, and pricing are displayed on our Pricing page and are subject to change with thirty (30) days' written notice.
2.3.2 Billing and Payment Terms
- Subscription fees are billed on a monthly or annual basis in advance, depending on your selected billing cycle
- Annual subscriptions are eligible for a discount compared to the equivalent monthly rate
- All fees are non-refundable except as expressly stated in our Refund Policy or required by applicable law
- Transaction processing fees associated with payment processing through Stripe, ACH, or other integrated payment channels may apply
- Cradle reserves the right to adjust subscription pricing with thirty (30) days' written notice
2.3.3 Failed Payments and Suspension
If a subscription payment fails, we will notify you by email and attempt to process the payment again. If the payment remains unresolved after ten (10) days, we reserve the right to restrict access to your account until the outstanding balance is settled. Accounts with balances unpaid for more than thirty (30) days may be suspended or terminated.
2.3.4 Free Trial
Every new center receives a 14-day free trial with full access to all Platform features included in their plan. No credit card is required to begin the trial. At the end of the trial period, you will be prompted to select a subscription plan and provide payment details to continue using the Platform.
2.4 Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
Prohibited Content and Conduct
- Upload, transmit, or store content that is false, misleading, defamatory, obscene, or otherwise unlawful
- Falsify student records, incident reports, health information, or any data entered into the Platform
- Impersonate any person, organization, or entity or misrepresent your affiliation with any party
- Use the Platform to harass, threaten, or harm any individual including children, parents, or staff
Prohibited Technical Activities
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from the Platform
- Use automated bots, scrapers, or scripts to access or extract data from the Platform without authorization
- Introduce viruses, malware, or any code designed to interfere with Platform functionality
- Attempt to gain unauthorized access to any account, system, or network associated with the Platform
- Circumvent, disable, or interfere with any security or access control feature of the Platform
Prohibited Commercial Activities
- Resell, sublicense, or commercialize access to the Platform without our prior written authorization
- Use the Platform to build a competing product or service using our proprietary information or data
2.5 Device Usage and Permissions
2.5.1 Teacher Mobile App
The Teacher App requests access to your device camera (for milestone photos, incident reports, and profile setup) and push notifications (for parent messages, check-in events, and safety alerts). Camera access is triggered only by deliberate user action and is never used passively in the background. Local device storage is used to cache session state only; no sensitive data is permanently stored on device.
2.5.2 Parent Mobile App
The Parent App requests camera access (for profile photos and documentation), microphone access (exclusively for voice clips within the messaging portal, only when user initiates recording), push notifications (for check-in updates, messages, payment reminders, and activity feed updates), and optional biometric authentication processed entirely by your device operating system and never transmitted to Cradle.
2.5.3 Progressive Web App (Admin)
The Centre Admin Module operates as a Progressive Web App accessible via modern desktop and tablet browsers. Browser-level permissions that may be requested include browser notifications, file system access for CSV import workflows, and clipboard access for copying tracking IDs.
2.6 Content Ownership and License
2.6.1 Your Content
You retain ownership of all data, records, files, and content that you upload or create within the Platform ("Your Content"). By submitting content to the Platform, you grant Cradle a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely as necessary to provide the Platform services to you.
You represent and warrant that Your Content does not violate any applicable laws or third-party rights, and is accurate, particularly with respect to child health and medical information.
2.6.2 Cradle's Intellectual Property
All intellectual property rights in the Platform, including software, design, logos, text, graphics, and documentation, are owned by or licensed to Cradle. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent.
2.7 Third-Party Integrations
The Platform integrates with third-party services including payment processors, email delivery providers, and cloud infrastructure providers. Your use of these integrations may be subject to additional terms and privacy policies maintained by those third parties. Cradle is not responsible for the practices, availability, or conduct of third-party services.
2.8 Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Cradle does not provide legal, medical, financial, or compliance advice. Daycare centers remain solely responsible for ensuring their operations comply with applicable state and local childcare licensing regulations, health codes, and data protection laws.
2.9 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRADLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CRADLE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
2.10 Indemnification
You agree to indemnify, defend, and hold harmless Cradle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) Your Content.
2.11 Termination
- You may cancel your subscription at any time through your account settings or by contacting support@cradleapp.com. Cancellation takes effect at the end of the current billing period.
- Cradle may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct that poses a risk to the Platform, other users, or any child's safety.
Upon termination, your right to access the Platform ceases immediately. You may request an export of Your Content within thirty (30) days of termination. After that period, we are not obligated to retain or provide access to your data.
2.12 Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall first be subject to informal negotiation. If not resolved within thirty (30) days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or data security.
2.13 Modifications to These Terms
We may update these Terms at any time. We will notify you of material changes at least fourteen (14) days before they take effect by posting an in-platform notice and sending an email to your registered address. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
